Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and sofeea LLC, a Delaware limited liability company ("sofeea," "we," "our," or "us"), governing your access to and use of the sofeea platform, website, applications, and related services (collectively, the "Services").
PLEASE READ THESE TERMS CAREFULLY. By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Services.
If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.
1. Description of Services
1.1 The sofeea Platform
sofeea provides a litigation intelligence platform that enables legal professionals to access behavioral models of federal judges, grounded in publicly available judicial opinions. The Services include:
- Synthetic judge models derived from analysis of judicial opinions from the Harvard Caselaw Access Project and other public legal databases
- Conversational interfaces for querying judicial reasoning patterns
- Document analysis tools for brief review and argument stress-testing
- Retrieval of relevant judicial opinions with source citations
1.2 Nature of AI-Generated Content
You acknowledge and agree that:
- The Services utilize artificial intelligence and machine learning technologies to generate responses based on patterns identified in judicial opinions.
- AI-generated content is provided for informational and preparatory purposes only and does not constitute legal advice, legal opinion, or professional counsel.
- While our Services are designed to ground responses in actual judicial opinions, AI systems may produce inaccurate, incomplete, or misleading information.
- You are solely responsible for independently verifying all information, citations, and analysis provided through the Services before relying upon it in any legal proceeding or professional context.
2. Eligibility and Account Registration
2.1 Eligibility
The Services are intended for use by licensed attorneys and legal professionals. By using the Services, you represent and warrant that you:
- Are at least 18 years of age
- Are a licensed attorney in good standing in at least one U.S. jurisdiction, or are a legal professional working under the supervision of a licensed attorney
- Have the legal capacity to enter into binding agreements
- Will use the Services only for lawful purposes and in compliance with all applicable rules of professional conduct
2.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We reserve the right to suspend or terminate your account if we reasonably believe your account has been compromised or is being used in violation of these Terms.
3. Acceptable Use
3.1 Permitted Uses
You may use the Services solely for legitimate legal research, case preparation, litigation strategy development, and other lawful professional purposes consistent with your duties as a legal professional.
3.2 Prohibited Conduct
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable law, regulation, or rule of professional conduct
- Misrepresent AI-generated content as your own original work product without appropriate disclosure
- Submit content to the Services that contains confidential client information without appropriate authorization and safeguards
- Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code, algorithms, or underlying models of the Services
- Use the Services to develop competing products or services
- Circumvent, disable, or interfere with security features of the Services
- Use automated means to access the Services, including bots, scrapers, or similar technologies, without our prior written consent
- Transmit viruses, malware, or other malicious code through the Services
- Engage in any activity that disrupts or interferes with the Services or the servers and networks connected to the Services
- Share your account credentials with third parties or allow others to access the Services through your account
4. Intellectual Property Rights
4.1 sofeea's Intellectual Property
The Services, including all software, algorithms, models, user interfaces, graphics, trademarks, service marks, and content created by sofeea, are owned by sofeea or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Except for the limited license granted herein, nothing in these Terms transfers any intellectual property rights to you.
4.2 User Content
You retain ownership of any content you submit to the Services ("User Content"). By submitting User Content, you grant sofeea a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and process such content solely as necessary to provide and improve the Services. We will treat User Content in accordance with our Privacy Policy.
You represent and warrant that you have all necessary rights to grant this license and that your User Content does not violate any third-party rights or applicable laws.
4.3 Output
Subject to your compliance with these Terms, you may use the output generated by the Services ("Output") for your legitimate professional purposes. However, you acknowledge that similar or identical Output may be generated for other users and that sofeea does not claim ownership of Output solely by virtue of generating it.
4.4 Underlying Data
The Services incorporate data from the Harvard Caselaw Access Project and other publicly available legal databases. Such underlying judicial opinions remain in the public domain, and nothing in these Terms restricts your right to access such materials through other means.
5. Fees and Payment
5.1 Subscription Fees
Access to the Services may require payment of subscription fees as set forth on our website or in a separate order form. All fees are quoted in U.S. dollars and are non-refundable except as expressly provided herein or required by law.
5.2 Payment Terms
You authorize us to charge your designated payment method for all fees due. Subscription fees are billed in advance on a recurring basis. Failure to pay fees when due may result in suspension or termination of your access to the Services.
5.3 Price Changes
We reserve the right to modify our fees upon reasonable notice. Fee changes will not apply to the current billing period but will take effect at the start of the next renewal period.
6. Disclaimers
6.1 No Legal Advice
THE SERVICES DO NOT PROVIDE LEGAL ADVICE. Output generated by the Services is for informational purposes only and should not be relied upon as a substitute for professional legal judgment. You are solely responsible for exercising independent professional judgment in all legal matters and for compliance with all applicable rules of professional conduct.
6.2 Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SOFEEA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
6.3 No Guarantee of Accuracy
We do not warrant that the Services will be uninterrupted, error-free, or completely secure, or that any information, analysis, or Output will be accurate, complete, current, or suitable for any particular purpose. AI-generated content may contain errors, hallucinations, or outdated information. You acknowledge and accept these limitations.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- SOFEEA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER SOFEEA WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- IN NO EVENT SHALL SOFEEA'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SOFEEA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
- THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY UPON WHICH DAMAGES ARE SOUGHT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, sofeea's liability shall be limited to the maximum extent permitted by applicable law.
8. Indemnification
You agree to indemnify, defend, and hold harmless sofeea and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your violation of any third-party rights, including intellectual property rights or rights of privacy.
9. Confidentiality
9.1 Client Confidentiality
You are solely responsible for compliance with your professional obligations regarding client confidentiality. Before submitting any information to the Services that may be subject to attorney-client privilege, work product protection, or other confidentiality obligations, you must ensure that such submission is consistent with your professional duties and any applicable client consents.
9.2 sofeea's Confidentiality Obligations
We will treat User Content as confidential and will not disclose it to third parties except as described in our Privacy Policy, as required by law, or as necessary to provide the Services.
10. Term and Termination
10.1 Term
These Terms commence when you first access or use the Services and continue until terminated in accordance with this Section.
10.2 Termination by You
You may terminate your account at any time by contacting us at support@sofeea.ai or through your account settings. Termination will be effective at the end of your current billing period.
10.3 Termination by sofeea
We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Without limiting the foregoing, we may terminate your account immediately if you breach these Terms or engage in conduct that we determine, in our sole discretion, is harmful to sofeea, other users, or third parties.
10.4 Effect of Termination
Upon termination, your right to access and use the Services will immediately cease. Sections 4, 6, 7, 8, 11, 12, and 13 shall survive termination.
11. Dispute Resolution
11.1 Governing Law
These Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
11.2 Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
You and sofeea agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by JAMS in accordance with its Comprehensive Arbitration Rules and Procedures. The arbitration shall be conducted by a single arbitrator in Wilmington, Delaware, or another mutually agreed location. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
CLASS ACTION WAIVER: YOU AND SOFEEA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
11.3 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.
12. General Provisions
12.1 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and sofeea regarding the Services and supersede all prior and contemporaneous agreements, proposals, and communications.
12.2 Amendment
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the revised Terms on our website with an updated "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the modified Terms.
12.3 Waiver and Severability
No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. If any provision of these Terms is held invalid or unenforceable, that provision shall be construed consistent with applicable law, and the remaining provisions shall continue in full force and effect.
12.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties and their respective successors and assigns.
12.5 Notices
We may provide notices to you via email to the address associated with your account, through the Services, or by posting on our website. You may provide notices to us by email at legal@sofeea.ai.
12.6 Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations due to causes beyond its reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of governmental authorities, or failure of third-party infrastructure.
